1. Acceptance of Terms
These Terms of Service ("Terms") form a legally binding agreement between you and kuizinel ("we", "us", "our") governing your access to and use of our websites, mobile experiences, APIs, and related services (collectively, the "Services"). By creating an account, activating a subscription, or using the Services in any way, you confirm that you are at least 18 years old, have authority to bind yourself or the entity you represent, and agree to these Terms in full. If you do not agree, do not use the Services.
2. Description of Services
kuizinel provides a restaurant management platform including digital menus, QR ordering, table management, kitchen display systems, loyalty programmes, AI-assisted tools, and analytics. Features available to you depend on your subscription plan. We reserve the right to add, modify, or discontinue features at any time, though we will endeavour to give reasonable advance notice of material changes that affect your current plan.
3. Accounts and Security
You must provide accurate, current, and complete information when registering. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at security@kuizinel.com if you suspect unauthorised access. We may suspend or terminate accounts we reasonably believe are compromised, used in violation of these Terms, or that pose a risk to other users or the platform.
4. Restaurant Operator Responsibilities
As a restaurant operator, you are solely responsible for the accuracy of your menu content, including descriptions, allergen information, pricing, and availability. You must comply with all applicable food safety, consumer protection, and data protection laws in your jurisdiction. You may not use the Services to process orders for goods or services that are illegal, unsafe, or otherwise prohibited. You retain ownership of your menu content and grant kuizinel a limited licence to display it as part of the Services.
5. Acceptable Use
You agree not to: (a) access or attempt to access non-public areas of the Services; (b) interfere with or disrupt the integrity or performance of the Services or their underlying infrastructure; (c) scrape, crawl, or extract data except as expressly permitted by our API terms; (d) introduce viruses or malicious code; (e) use the Services to transmit unsolicited communications; or (f) impersonate any person or entity. We reserve the right to investigate and take appropriate legal action against any violations.
6. Payments and Billing
Paid subscriptions are billed in advance on a monthly or annual cycle. All fees are exclusive of taxes unless stated otherwise. Payments are processed securely by Stripe. You authorise us to charge your payment method on each renewal date. Subscriptions may be cancelled at any time; cancellation takes effect at the end of the current billing period and no partial refunds are issued for unused time. We reserve the right to modify pricing with at least 30 days' notice; continued use after notice constitutes acceptance.
7. Intellectual Property
The Services and all associated software, design, trademarks, and content created by kuizinel are our exclusive property or are licensed to us. Nothing in these Terms transfers any intellectual property rights to you. You may not copy, adapt, or create derivative works of the Services except as expressly permitted. Any feedback you provide to us may be used without restriction or compensation.
8. Disclaimer of Warranties
The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components. Some jurisdictions do not allow the exclusion of implied warranties, so the above may not apply to you in full.
9. Limitation of Liability
To the fullest extent permitted by applicable law, kuizinel's aggregate liability arising out of or related to these Terms or the Services shall not exceed the greater of (a) the fees you paid in the 12 months preceding the claim, or (b) $100 USD. We shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, even if advised of the possibility of such damages.
10. Termination
Either party may terminate these Terms at any time. We may suspend or terminate your access with immediate effect if you breach these Terms or if required by law. Upon termination, your right to use the Services ceases immediately. We will retain your data for a limited period as required by law or our data retention policy, after which it will be deleted. Sections 7–11 survive termination.
11. Governing Law and Disputes
These Terms are governed by the laws of the jurisdiction in which kuizinel is registered, without regard to conflict-of-law principles. Any dispute arising from these Terms shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the rules of a recognised arbitration body, except that either party may seek injunctive relief in any competent court. You waive any right to participate in a class-action lawsuit or class-wide arbitration.
12. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email or a prominent in-app notice at least 14 days before taking effect. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services and cancel your subscription before the effective date.
